SPFA Statement of Confidentiality (1/13/26)

The Spray Polyurethane Foam Alliance (SPFA) is at all times committed to maintaining the security of its confidential and proprietary information, data, and documents, as well as that of its members. Members of the Board of Directors, all SPFA committees and task force members, and all other SPFA member volunteers have a continuing duty to NOT disclose or share with any third-party non-member or unaffiliated entity outside of the SPFA and to maintain the strict confidentiality of all SPFA and SPFA member trade secrets, confidential and/or proprietary information, data and documents that may be disclosed or shared in the course of their volunteer activities and association with SPFA. This ongoing duty to maintain the confidentiality of and not disclose to any outside third parties as described below SPFA’s proprietary and confidential information shall include the substantive content of discussions and communications which take place in the course of any SPFA Board, committee or task-force meetings except for such information as may be set forth in the approved meeting minutes or for which disclosure has previously been authorized by SPFA. Third parties to whom disclosure is prohibited include, but are not limited to, any individual who is not a current member of the SPFA Board of Directors or the applicable SPFA committee or task force, or any competing industry organization or non-SPFA member entity, unless such disclosure has been previously approved for release or disclosure by the President or Executive Director of SPFA.

Note that this policy does not prohibit disclosures 1) as may be required by law, 2) of information that is publicly known at the time of disclosure or subsequently becomes publicly known through no fault of the individual who is the subject of this Statement of Confidentiality, or 3) of information which is otherwise already available to the public through other non-SPFA related outside sources.

Confidentiality involves safeguarding privileged and proprietary SPFA information. Board and committee members, as well as volunteers, are expected to exercise professionalism, sound judgment, and discretion when handling SPFA and SPFA member-related information to prevent unauthorized or improper disclosures. Any questions as to the confidential and/or proprietary nature of information or data shared during a Board, committee, or task force meeting should be raised during the meeting with the attending SPFA staff member, including the Technical Director, or with legal counsel.

While open discussions among Board and committee members about SPFA’s mission and initiatives are encouraged, the following are strictly prohibited:

  • Disclosing opinions expressed in meetings.
  • Reporting independently to parties outside of the SPFA on SPFA Board, task force, or committee discussions or actions.
  • Sharing or distributing any SPFA-related Board, committee, or task force communication that has not been previously approved by the Executive Director or SPFA staff.
  • Communicating information that conflicts with existing SPFA Board policies, procedures, or decisions, or the disclosure of which is reasonably deemed contrary to the best interests of the SPFA and its membership.

Violation of this policy may result in disciplinary action being taken on the part of the SPFA, including, but not limited to, suspension or removal from service on the applicable committee or task force, suspension or termination of SPFA membership, including suspension or removal as an officer or director of SPFA.

Certification

I acknowledge that I have read and understand SPFA’s Statement of Confidentiality. I agree to comply in all respects with its provisions and will promptly inform the Board President, applicable committee or task force chair or SPFA staff if I become aware of any actual or potential violation of this policy.
